Comprehensive Service Agreement for EasyClicks Technologies | Last Revised: November 2025
This document is a legally binding agreement between you ("Client") and EasyClicks Technologies ("Company"). By engaging our services, signing a proposal, or paying an invoice, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety. These terms govern all software development, web design, digital marketing, and consultancy services provided by the Company.
All projects are executed based on a pre-defined Statement of Work (SOW). Work is divided into logical milestones. Completion of a milestone is subject to client review and approval. Once a milestone is approved and the associated payment is released, that phase is considered final.
The Client agrees to provide all necessary assets, including but not limited to: high-resolution logos, brand guidelines, website copy, server credentials, and third-party API keys. Failure to provide these assets within 10 business days may result in project suspension or a "Restart Fee" to re-allocate resources.
Unless otherwise agreed in writing, projects require a 50% upfront deposit. The remaining 50% is billed upon project completion or as per specific milestones. Monthly recurring services (SEO, Social Media Management) are billed in advance on the 1st of every month.
Invoices unpaid for more than 15 calendar days will incur a late fee of 2% per month on the outstanding balance. EasyClicks Technologies reserves the right to suspend all active services (including website hosting) if payments are overdue by more than 30 days.
Upon receipt of full and final payment, all custom-developed source code, graphics, and content created specifically for the Client shall be transferred to the Client. EasyClicks Technologies retains ownership of any pre-existing proprietary tools, libraries, or frameworks used during development.
Unless a formal Non-Disclosure Agreement (NDA) is signed, the Client grants EasyClicks Technologies a non-exclusive license to display the project (screenshots, links, and results) in our professional portfolio and marketing materials.
EasyClicks Technologies provides services on an "as-is" and "as-available" basis. While we strive for 100% bug-free deployment, we do not warrant that the functions contained in any software or website will be uninterrupted or error-free.
To the maximum extent permitted by law, EasyClicks Technologies shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data loss, or business interruption, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by the Client to the Company for the specific service in question.
Every project includes a 15-day complimentary support period after handover to fix any bugs identified in the original Scope of Work. After this period, any changes, updates, or fixes will be billed under a separate Maintenance Agreement or at our standard hourly rate.
Neither party shall be liable for any failure or delay in performance under this Agreement (except for payment obligations) for causes beyond that party’s reasonable control, including, but not limited to, acts of God, fire, strike, war, riot, government regulations, or failure of third-party infrastructure (e.g., AWS, Google, or ISP outages).
Either party may terminate the contract if the other party breaches a material term and fails to cure that breach within 30 days of written notice. Upon termination, the Client shall pay for all work performed up to the termination date. All licenses granted to the Client for unpaid work will be revoked immediately.
Any dispute, controversy, or claim arising out of this agreement shall be settled through amicable negotiations. If a resolution cannot be reached, the matter shall be subject to the exclusive jurisdiction of the courts in Shahdana colony, Bareilly, 243005 .
